SpeechEasy – Terms of Service

1. Acceptance of Terms

1.1 Binding Agreement: By creating an account or otherwise accessing SpeechEasy, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (collectively, the “Agreement”).

1.2 Modifications to Terms: We reserve the right to update or modify these Terms at any time. If we make material changes, we’ll post a notice on the Site or send an email. Your continued use of SpeechEasy after such changes indicates acceptance of the updated Terms.

2. Eligibility & Account Registration

2.1 Age Restriction: You must be at least 18 years old to use SpeechEasy. By creating an account or using the Service, you represent that you meet this requirement and have the legal capacity to enter into a binding contract.

2.2 Account Creation: To access certain features, you may need to create an account. You agree to provide accurate information and keep it updated. Each account is for a single user; do not share your login or passcode with others.

2.3 Security: You are responsible for all activity on your account. If you suspect unauthorized use, contact us immediately at [email protected].

3. Description of SpeechEasy Service

3.1 Informational Nature: SpeechEasy provides tools to help you create or refine a wedding speech. It is not a medical, therapeutic, legal, or financial service. Any suggestions are for informational purposes only.

3.2 No Audio Recording: We do not collect or store voice data. If you speak into your device, the speech-to-text conversion is handled by your device or a third-party you control.

3.3 User Content:

• Ownership: You retain all rights to text or personal anecdotes you provide (“User Content”).
• Privacy: We do not publish or share your User Content with the public unless you explicitly submit it as a testimonial (see Section 4).

4. Testimonials & Feedback

4.1 Voluntary Submission: If you share feedback or a testimonial about SpeechEasy, you grant us a non-exclusive, worldwide, royalty-free license to use and display that testimonial for promotional purposes.

4.2 Limited Personal Information: If you allow us to feature your testimonial, we may display only your first name, last initial, and any photo you voluntarily provide. You can revoke permission by contacting [email protected], but previously published testimonials may persist in archives.

5. Payments & Refunds

5.1 Paid Service: SpeechEasy is a paid service (subscription or one-time) as indicated at checkout. You agree to pay all charges at the posted prices.

5.2 Payment & Billing: By submitting your payment information at checkout, you authorize SpeechEasy (through its third-party payment processor, Stripe) to charge your selected payment method for all applicable fees (plus any taxes) for the products or services you purchase. You represent and warrant that you have the legal right to use the payment method provided.

Stripe handles the collection and processing of your payment information; we do not store or have direct access to full payment card details. Your use of Stripe is subject to Stripe’s Terms of Service and Privacy Policy. If you have any issues related to payment disputes or unauthorized charges, please contact us at [email protected], and we will work with Stripe to help resolve the matter.

Unless otherwise stated, all fees and charges are non-refundable except as specified in our Refund Policy or required by law. All payments are in U.S. dollars (USD) unless otherwise noted, and you’re responsible for any applicable taxes or duties.

5.3 Money-Back Guarantee: If you’re unsatisfied within 10 days, email [email protected] to request a refund. We will provide details on eligibility and processing.

5.4 Billing & Automatic Renewal: For subscriptions, you authorize recurring charges to your payment method until cancellation. You may cancel at any time in your account settings or by contacting [email protected].

5.5 Taxes: You are responsible for any applicable taxes on your purchases.

6. Prohibited Uses & User Content

6.1 Lawful Use: You agree to use SpeechEasy only for lawful purposes. You may not:

• Harass or harm others
• Violate any applicable laws
• Transmit malicious code or viruses
• Reverse engineer or misuse the platform
• Transmit content that is infringing, defamatory, obscene, or otherwise objectionable
• Engage in unsolicited or unauthorized advertising (“spam”), chain letters, or any other form of solicitation
• Impersonate or misrepresent your identity or affiliation with any person or entity
• Infringe upon any intellectual property rights or proprietary rights of any party
• Harm minors in any way or gather personal information about minors without appropriate consent

You are solely responsible for any content you provide, ensuring that it is accurate, lawful, and does not infringe any third-party rights. We reserve the right (but have no obligation) to remove or refuse to publish content that we believe violates these Terms.

6.2 No Commercial Exploitation: Unless explicitly authorized, you may not resell, lease, or commercially exploit the Service.

7. Intellectual Property

7.1 SpeechEasy IP: All software, design elements, and features belong to GWS or its licensors. You agree not to copy, modify, or create derivative works without written consent.

7.2 User Content IP: You retain ownership of your User Content. By using the Service, you grant us a limited license to process it as needed to operate and improve SpeechEasy. This license ends when you delete your content or close your account, except for residual backups or aggregated data.

8. Disclaimers & Limitation of Liability

8.1 No Professional Advice: SpeechEasy is not a substitute for professional advice (medical, legal, financial, etc.). All content is provided for informational or entertainment purposes only. Use at your own risk.

8.2 As-Is Service: The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. We do not guarantee error-free performance or specific outcomes.

8.3 Limitation of Liability: To the maximum extent permitted by law, GWS and its agents are not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless GWS and its affiliates from any claims, damages, or liabilities arising from:

• Your use or misuse of SpeechEasy
• Your breach of these Terms
• Your content violating any third-party rights or laws

10. Dispute Resolution & Arbitration

10.1 Binding Arbitration: You and GWS agree to resolve disputes through final and binding arbitration in Los Angeles, CA, under California law. Each party bears its own costs, unless law requires otherwise.

10.2 Class Action Waiver: You agree any claim is on an individual basis only, not part of a class or consolidated action.

10.3 Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction for alleged intellectual property violations.

11. Termination

11.1 User Termination: You may cancel your account anytime by contacting [email protected] or via your account settings. Any refund (if applicable) will follow Section 5.

11.2 Termination by GWS: We may suspend or terminate your access for any reason, including a breach of these Terms, without liability.

12. Miscellaneous

12.1 Governing Law: These Terms are governed by California law, without regard to conflict of laws.

12.2 Entire Agreement: These Terms and our Privacy Policy form the entire agreement, superseding prior versions.

12.3 Severability: If any part is deemed invalid, remaining provisions remain in effect.

12.4 No Waiver: Failure to enforce any right is not a waiver of future enforcement.
